Terms of Service

These Terms explain the rules for using Juba, including specialist work, connected tools, approvals, subscriptions, and customer responsibilities.

1. Agreement and eligibility

These Terms govern access to Juba's websites, applications, APIs, specialist agents, integrations, and related services (the "Service"). By creating an account, accepting an order, or using the Service, you agree to these Terms. If you use Juba for an organisation, you confirm that you have authority to bind it.

You must be at least 18 years old and legally able to enter a binding agreement. Separate order forms, checkout terms, data-processing terms, or enterprise agreements may add to these Terms. If they conflict, the more specific signed agreement controls.

2. What Juba provides

Juba is a go-to-market operating system. It helps a workspace collect evidence, plan work, run specialised AI-assisted workflows, govern approvals, connect external providers, execute permitted actions, and learn from results. Features and limits depend on the purchased plan.

Juba may label outputs as facts, inferences, hypotheses, or unknowns, but automated output can still be incomplete or wrong. You must review important recommendations, claims, audiences, budgets, legal obligations, and external actions before relying on them.

3. Accounts, workspaces, and authority

Keep account access secure and provide accurate information. Workspace owners control membership, roles, connected providers, approval routes, and authorised actions. You are responsible for activity performed through your accounts except where caused by Juba's breach of these Terms or applicable law.

An invitation or role does not grant authority beyond the permissions visible in the Service. You must promptly revoke access for people who no longer require it and report suspected compromise to contact@getjuba.com.

4. Customer data and connected providers

You retain ownership of data, instructions, content, credentials, records, and materials submitted to a workspace ("Customer Data"). You grant Juba a limited licence to host, process, reproduce, transmit, and display Customer Data only as needed to provide, secure, support, and improve the Service.

You confirm that you have the rights and lawful basis needed to use Customer Data, including prospect, customer, employee, analytics, and connected-account data. Third-party providers remain governed by their own terms. Connecting a provider authorises only the scopes and capabilities shown in Juba; it does not guarantee that the provider will accept or complete an action.

5. Governed external actions

Juba separates recommendations from execution. External email, publishing, advertising, CRM changes, billing changes, and other writes require the configured permissions, approvals, provider connection, and operating limits. You are responsible for approving the correct target, content, account, budget, schedule, and legal basis.

A queued or attempted action is not proof of provider success. Juba records provider receipts where supported, but you should reconcile material actions and outcomes in the relevant provider.

6. Acceptable use

You must not use the Service to:

  • break the law, violate rights, deceive people, or facilitate harm;
  • send unlawful spam, evade consent or suppression rules, scrape prohibited data, or impersonate another person or organisation;
  • upload malware, probe security without permission, bypass access controls, or interfere with the Service;
  • expose secrets or personal data that are unnecessary for the task;
  • use automated output as the sole basis for decisions that produce legal or similarly significant effects on a person; or
  • resell, copy, reverse engineer, or exploit the Service except as allowed by law or a written agreement.

7. Fees, renewals, and cancellation

Paid plans, prices, billing periods, taxes, usage limits, trials, and any renewal terms are shown at checkout or in an order. Unless the order says otherwise, subscriptions renew for successive billing periods until cancelled. You authorise Juba's billing provider to charge the payment method on file.

You may cancel through the available billing controls or by contacting support. Cancellation normally takes effect at the end of the current paid period. Fees are non-refundable except where the order, a written refund policy, or applicable law requires otherwise. We may suspend paid features after failed payment while preserving legally required access to data.

8. Intellectual property and feedback

Juba and its licensors own the Service, software, product design, documentation, and underlying methods, excluding Customer Data. Your subscription grants a limited, non-exclusive, non-transferable right to use the Service during the subscription term.

You may use outputs produced for your workspace subject to applicable law, third-party rights, and provider terms. If you provide feedback, you allow Juba to use it without restriction or payment, without identifying you publicly unless you consent.

9. Confidentiality and security

Each party must protect the other's confidential information with reasonable care and use it only for the agreement. This obligation does not cover information that is public without breach, already lawfully known, independently developed, or lawfully received from a third party.

Juba uses technical and organisational safeguards, but no online service is risk-free. Security features do not replace your own access controls, backups, review duties, and incident procedures.

10. Service changes and availability

We may improve, replace, limit, or discontinue features. We will use reasonable efforts to provide notice when a material change adversely affects a paid customer. Beta or preview features may change or end and may be subject to additional limits.

11. Disclaimers

To the extent permitted by law, the Service is provided "as is" and "as available." Juba does not guarantee revenue, market success, uninterrupted availability, or that automated output is accurate or fit for a particular purpose. Juba does not provide legal, tax, financial, medical, or other regulated professional advice.

12. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, or consequential damages, or lost profits, revenues, goodwill, or data. Juba's aggregate liability arising from the Service will not exceed the amount paid for the Service during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited.

13. Suspension and termination

You may stop using Juba at any time. We may suspend or terminate access for material breach, security risk, unlawful use, non-payment, or conduct that threatens the Service or others. Where reasonable, we will provide notice and an opportunity to cure. Terms that by their nature should survive termination will survive.

14. General terms

Neither party may assign the agreement without the other's consent, except in connection with a merger, acquisition, corporate reorganisation, or sale of substantially all relevant assets. Neither party is liable for delay caused by events beyond reasonable control. If part of these Terms is unenforceable, the remaining provisions continue. A failure to enforce a provision is not a waiver.

Juba is operated by Juba Fourali in United Arab Emirates. The laws and courts of United Arab Emirates govern these Terms, except where mandatory consumer or other applicable law requires otherwise.
